Please read these Terms and Conditions carefully before engaging the services of Adebisi Cypher Ilerioluwa ("I", "me", "my"). By engaging my services, submitting a contact form, or making payment, you confirm that you have read, understood, and agreed to these terms in full.

Acceptance of Terms

By accessing this website, submitting an inquiry, or entering into any working relationship with me — whether written, verbal, or implied — you agree to be bound by these Terms and Conditions. These terms apply to all clients, visitors, collaborators, and anyone who interacts with my professional services.

If you do not agree with any part of these terms, you must not engage my services. I reserve the right to update these terms at any time. Continued engagement after any modification constitutes acceptance of the revised terms.

Services Offered

I offer the following professional services:

  • Web Design & Development (HTML, CSS, JavaScript)
  • Graphic Design & Brand Identity
  • Content Creation, Copywriting & Blogging
  • Social Media Management & Strategy
  • Music Production & Beat Licensing
  • IT Support, Troubleshooting & Consulting
  • Project Management & Coordination

Each engagement will be defined through a clear project scope agreed upon before commencement. Work outside the agreed scope may attract additional fees.

Payment & Fees

Deposit: A non-refundable deposit of 50% of the agreed project fee is required before any work begins. This secures your slot and covers initial work.

Balance: The remaining 50% is due upon project completion, before final files or access are transferred. No final deliverable will be released until full payment is received.

Accepted Methods: Nigerian bank transfer (Naira), PayPal (USD/GBP), and agreed digital payment platforms.

Late Payment: Invoices unpaid 7 days after the due date may attract a 5% late fee per week. I reserve the right to pause or terminate work on overdue accounts.

All pricing is confirmed in writing before work begins. No surprises.

Revisions & Changes

Every project includes up to two (2) rounds of revisions. Additional revisions will be charged at an agreed rate. Revisions must be submitted within 14 days of receiving the deliverable. Major scope changes constitute new work and will be quoted accordingly.

Intellectual Property

Client Ownership: Upon receipt of full payment, ownership of agreed deliverables is transferred to the client. This excludes source files and proprietary tools unless explicitly included.

My Rights: I retain the right to display completed work in my portfolio unless the client requests confidentiality in writing before commencement.

Copyright: All original creative work remains under copyright protection. Unauthorised reproduction, resale, or distribution without written permission is strictly prohibited.

Music Licensing

All beats and music productions are subject to specific licensing terms:

  • Non-Exclusive Lease: Grants limited rights to use the beat for personal or commercial recordings. I retain ownership and may lease the same beat to other artists.
  • Exclusive License: Grants sole rights to the beat. Higher pricing applies. Once sold exclusively, the beat is removed from non-exclusive availability.
  • Custom Production: Beats produced exclusively for a client from scratch. Full ownership terms are agreed before production begins.

Using any beat without an active license is a copyright violation. All music licensing is handled via written agreement. Contact me before using any production commercially.

Confidentiality

I treat all client information with complete discretion. Any business data, strategic plans, personal information, or project details will not be disclosed to third parties without explicit written consent. Clients may request an NDA before project commencement.

Timelines & Deadlines

Project timelines are agreed in writing before commencement. If a project is delayed due to the client's failure to provide required materials or feedback, the timeline will be adjusted accordingly. Projects left inactive for more than 30 days without client communication may be archived and restarted as a new project.

Rush work may attract a rush fee of up to 50% of the standard project rate, communicated clearly before acceptance.

Limitation of Liability

I cannot be held liable for:

  • Business losses or indirect losses arising from use of deliverables
  • Third-party platform failures (hosting, domain, social media downtime)
  • Errors introduced by the client after final delivery
  • Copyright issues arising from client-supplied content

My total liability shall not exceed the total fees paid for the specific project in question.

Termination

By the client: A client may terminate a project at any time with written notice. The initial deposit is non-refundable. Additional payment for work completed beyond the deposit value may be required.

By me: I reserve the right to terminate a project if a client acts in bad faith, fails to pay, or behaves in a manner that is abusive or contrary to these terms.

Privacy Policy

When you submit the contact form, the following information may be collected: your name, email address, and message content. This information is used solely to respond to your inquiry and manage our working relationship.

I do not sell, rent, or share your personal data with any third party for marketing purposes. You have the right to request deletion of your data at any time.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will first be sought to be resolved through mutual negotiation. If negotiation fails, disputes will be referred to mediation or arbitration under Nigerian law.
